Welcome to Kyra Rewards Club.

These Membership Terms and Conditions govern your use of Kyra, your Kyra account, your paid membership, your access to partner benefits, and your participation in any Kyra rewards, offers, promotions, prize draws or member campaigns.

In these Terms, “Kyra”, “we”, “us” and “our” refer to Kyra Rewards Club. “You” and “your” refer to the person creating an account, subscribing to Kyra, using the Kyra platform or participating in a Kyra promotion.

By creating an account, subscribing to Kyra, accessing the Kyra platform or participating in any Kyra promotion, you agree to be bound by these Terms, our Privacy Policy, any applicable country-specific terms, any partner terms and any promotion-specific mechanics published by us from time to time.

If you do not agree to these Terms, you must not create an account, subscribe to Kyra, use the Kyra platform or participate in any Kyra promotion.

Part A — Kyra Membership Terms

1. About Kyra

Kyra is an Asia-first digital membership and rewards platform.

Kyra members may receive access to selected partner offers, discount codes, rewards, member-only benefits, digital experiences, promotional campaigns and, where available and legally permitted, entry into Kyra rewards promotions.

Kyra is not a savings product, investment product, betting platform, lottery, gambling product or guaranteed prize service.

Your Kyra membership gives you access to the Kyra platform and available member benefits. It does not guarantee that you will receive any particular offer, reward, saving, prize or financial benefit.

2. Eligibility

You may create a Kyra account and become a Kyra member only if:

• you are at least 18 years old
• you are legally able to enter into binding contracts
• you reside in a country or territory where Kyra is available
• you provide accurate, complete and current information
• you are not prohibited by law from using Kyra or participating in any Kyra promotion
• you comply with these Terms

We may require age, identity, contact, residency, payment or eligibility verification before activating your account, allowing access to a benefit, confirming promotion eligibility or releasing any reward or prize.

We may refuse, suspend or terminate any account if we reasonably believe that the user is not eligible, has provided false or incomplete information, has breached these Terms, has created multiple accounts, has acted fraudulently or has attempted to manipulate Kyra, a partner offer or a promotion.

3. Your Kyra Account

You must register for a Kyra account using the process we make available through our website, app or approved channels.

You are responsible for ensuring that all information linked to your account is accurate, current and complete.

You may only hold one Kyra account unless we expressly permit otherwise.

Your Kyra account is personal to you. You must not sell, transfer, assign, lend, share or otherwise allow another person to use your account.

You are responsible for all activity that occurs through your account, including use by any person who accesses your account using your login details.

You must keep your login details, password, one-time passwords and account access credentials secure.

You must notify us immediately if you believe your account has been accessed without authorisation.

We may suspend or restrict your account if we detect unusual activity, suspected fraud, multiple accounts, automated activity, misuse of partner offers, attempted manipulation of promotions or any breach of these Terms.

4. Active Membership Verification

Kyra benefits are available only to individuals with an active Kyra membership, unless we expressly state otherwise.

We may require proof of active membership before providing any benefit, partner offer, event access, reward, promotional entry or prize claim.

Acceptable proof may include account login verification, confirmation email, digital membership display, payment confirmation, QR code, member ID or any other verification method approved by Kyra.

If you cannot verify your active membership when requested, Kyra or the relevant partner may refuse, delay or withdraw the relevant benefit, offer, reward or access.

5. Membership Plans, Fees and Billing

Kyra is a paid membership platform unless we expressly state otherwise.

The applicable membership fee, billing cycle, currency, taxes and payment method will be shown to you before you subscribe.

By subscribing to Kyra, you authorise us or our payment provider to charge your selected payment method for the applicable membership fee, taxes and any other charges disclosed at the time of purchase.

Unless stated otherwise, Kyra memberships renew automatically at the end of each billing period until cancelled.

You may cancel your membership through your account settings or any other method we make available. Cancellation will take effect at the end of the current paid billing period unless applicable law requires otherwise.

Membership fees are generally non-refundable once charged, except where required by applicable law or where we expressly agree otherwise.

If a payment fails, we may suspend or terminate your membership, restrict access to member benefits and remove eligibility for future promotional entries until your account is brought up to date.

We may change membership fees, billing cycles or membership tiers from time to time. Where required, we will provide notice before changes take effect. If you do not agree to the change, you may cancel your membership before the next billing period.

6. Payment Processing

Kyra may use third-party payment providers, such as Stripe, PayMongo or another approved payment processor, to process membership fees and related payments.

Payment providers may collect and process payment information in accordance with their own terms, privacy policies and security standards.

Where possible, Kyra will not store your full card number or sensitive payment credentials. Payment information may instead be stored securely by the payment provider using tokens or similar payment security methods.

Kyra is not responsible for delays, failures, errors, declined payments, chargebacks, payment holds, account restrictions or other issues caused by your bank, card issuer, payment provider, mobile wallet provider or other third-party payment service.

You are responsible for ensuring that your payment method is valid, authorised and has sufficient funds.

7. Membership Benefits

Kyra membership may give you access to partner offers, reward codes, benefits, discounts, experiences, promotional entries and other member features.

Membership benefits are subject to availability and may vary by country, campaign, partner, membership tier, member profile, redemption period or other eligibility criteria.

Kyra may add, remove, change, pause, restrict or replace membership benefits at any time.

You acknowledge that:

• partner offers may be subject to separate partner terms
• some benefits may only be available for a limited time
• some offers may have limited quantities or redemption windows
• benefits may differ by country or region
• partner availability may change without notice
• Kyra does not guarantee that membership savings will exceed the membership fee

Membership should be purchased for access to the Kyra platform and available member benefits, not on the expectation of winning a prize or receiving a guaranteed financial return.

8. Partner Offers and Third-Party Benefits

Kyra may make available offers, codes, discounts, rewards or benefits from third-party partners.

Partner offers are provided by the relevant partner and may be subject to the partner's own terms and conditions, exclusions, limitations, redemption rules, stock availability, pricing rules and refund policies.

Unless expressly stated otherwise, Kyra is not the seller, supplier, manufacturer, issuer or provider of partner products or services.

Kyra is not responsible for:

• a partner's refusal to honour an offer where the partner's terms are not met
• changes to partner pricing, availability, service levels or product descriptions
• defects, delays, cancellations, delivery failures or service issues by a partner
• a partner's withdrawal from Kyra
• any loss arising from your purchase or use of a partner product or service
• any dispute between you and a partner

We may remove, suspend or change a partner offer at any time, including where the offer has expired, been withdrawn, is unavailable, contains an error or is suspected of being misused.

Partner offers have no cash value unless expressly stated.

9. Kyra Rewards, Promotions and Prize Draws

Kyra may, from time to time, operate daily rewards, instant rewards, member drops, prize draws, giveaways, contests, competitions, promotional campaigns, member rewards or other promotional activities.

Your participation in any Kyra promotion is subject to:

• these Terms
• the specific rules, mechanics and eligibility criteria for that promotion
• any country-specific promotion terms
• any applicable regulatory approval, permit or registration
• applicable laws and regulations

Where legally permitted and stated in the relevant promotion mechanics, eligible members may be automatically included in selected Kyra promotions during their active membership period.

Automatic inclusion does not guarantee that you will win, receive a prize or obtain any specific reward.

Kyra may use language such as “eligible members may be entered”, “members may receive access to daily rewards”, “members may participate in selected promotions” or “members may be included in promotional draws”.

Kyra will avoid language that suggests every member will win, that prizes are guaranteed or that membership creates a guaranteed financial return.

Kyra will not intentionally run a promotion in a country where the promotion is prohibited. Where approval, registration or a permit is required, Kyra may delay, amend, suspend or cancel the promotion until the relevant requirement is satisfied.

10. No Guarantee of Winning

Kyra membership does not guarantee that you will win a prize, receive a reward, receive a particular partner offer or obtain a specific saving.

Any chance-based promotion is subject to the mechanics of that promotion and may involve random selection, eligibility criteria, verification and regulatory requirements.

You must not subscribe to Kyra on the assumption that you will win, recover your membership fee, receive a prize or obtain a financial return.

Promotional entries, where offered, are provided only as a benefit of eligible membership or as otherwise stated in the applicable promotion mechanics.

Kyra does not sell prize draw entries separately.

11. Daily Rewards and Member Drops

Kyra may offer daily rewards, member drops, surprise rewards, limited-time offers or similar benefits.

These may be allocated based on availability, timing, eligibility, random selection, member tier, location, participation, partner rules or other criteria disclosed by Kyra.

Daily rewards are not guaranteed to every member unless expressly stated.

Kyra may use “daily rewards” to describe the availability of daily reward opportunities, not a promise that every member will receive a reward every day.

Daily rewards may expire, be limited in quantity, be subject to partner terms or be available only to selected eligible members.

12. Promotion Integrity and Winner Selection

Kyra will take reasonable steps to operate promotions fairly, honestly and transparently.

Winner selection may be conducted manually, electronically, by random draw, by judging criteria or by another method described in the applicable promotion mechanics.

Where required by law or regulator guidance, Kyra may:

• submit promotion mechanics for approval
• obtain a sales promotion permit or similar approval
• invite or notify a regulator representative to witness or verify a draw
• make available software, draw logic or prize databases for inspection
• publish permit numbers or approval references
• announce winners in the required manner
• maintain records of the promotion

Kyra may disqualify any participant or winner if we reasonably believe that the person:

• breached these Terms or the promotion mechanics
• provided false or incomplete information
• created multiple accounts
• used bots, scripts, automation or manipulation
• abused partner offers or Kyra benefits
• engaged in fraudulent or dishonest conduct
• attempted to interfere with the draw process
• failed verification checks
• is otherwise ineligible

Kyra's official records will determine promotion entries, eligibility, winner selection and prize allocation, subject to applicable law and regulatory oversight.

13. Prizes and Rewards

Prizes and rewards may vary by promotion and may include cash, vouchers, goods, services, experiences, partner benefits, digital benefits or other items described in the relevant promotion mechanics.

Prizes are subject to availability and may be replaced with a prize of equal or greater value where permitted by law and where the original prize becomes unavailable for reasons beyond Kyra's reasonable control.

Prizes are not transferable, exchangeable or redeemable for cash unless expressly stated.

Kyra may require winners to provide proof of identity, age, residency, contact details, tax information, payment details or other information required to verify eligibility and deliver the prize.

If a winner does not respond within the claim period, fails verification, refuses the prize, is unreachable, provides false information or is disqualified, Kyra may select an alternative winner or deal with the prize as permitted by the promotion mechanics and applicable law.

Winners are responsible for any taxes, duties, charges, bank fees, travel costs, insurance, expenses or other costs associated with accepting or using a prize, unless the promotion mechanics state otherwise.

Kyra is not responsible for a winner's inability to use a prize due to personal circumstances, visa restrictions, travel limitations, health requirements, availability, technical issues or failure to comply with the prize supplier's terms.

14. Prize-Specific Conditions

Prizes may be subject to specific conditions depending on their nature.

For cash prizes, Kyra may require verified bank details, tax documentation, identity verification and signed acknowledgement before payment.

For travel prizes, the winner may be responsible for passports, visas, insurance, spending money, transfers, meals, taxes, health requirements and any costs not expressly included.

For vehicle or physical prizes, the winner may be responsible for registration, insurance, maintenance, licences, permits, taxes, duties, delivery limitations and compliance requirements unless expressly stated otherwise.

For partner-supplied prizes, the prize may be subject to the partner's terms, availability, blackout dates, capacity limits, redemption windows and usage restrictions.

Kyra may substitute a prize with a prize of equal or greater value where permitted by law and where the original prize becomes unavailable for reasons beyond Kyra's reasonable control.

15. Unclaimed Prizes and Redraws

If a winner cannot be contacted, fails verification, does not claim the prize within the stated claim period, refuses the prize, provides false information or is otherwise ineligible, Kyra may deal with the prize in accordance with the applicable promotion mechanics and applicable law.

Where permitted or required, Kyra may conduct a redraw, select a reserve winner, extend the claim period or take another action approved by the relevant regulator or allowed by law.

16. Events, Activations and Member Experiences

Kyra may host or participate in events, launch activations, partner experiences, livestreams, community events, prize announcements, winner presentations or other member experiences.

Attendance may be subject to capacity, eligibility, registration, venue rules, age restrictions, local law and any event-specific conditions.

Kyra may refuse entry or remove any attendee for unsafe, aggressive, abusive, unlawful, disruptive or inappropriate conduct.

Members and guests attend events voluntarily and at their own risk.

Kyra is not responsible for loss, theft or damage to personal belongings at events, except where liability cannot be excluded by law.

Attendees are responsible for damage caused by them or their guests to venue property, Kyra property, partner property or third-party property.

17. Filming, Photography, Livestreams and Content

Kyra events, activations, prize draws, winner announcements and promotional activities may be filmed, photographed, recorded, livestreamed or otherwise captured for marketing, operational, archival, regulatory or promotional purposes.

By attending or participating, you acknowledge that you may appear in crowd footage, background footage, livestreams, social media content, promotional videos, photographs or other Kyra content.

If you do not wish to be featured in identifiable content, you should notify Kyra staff where practical, and we will take reasonable steps to accommodate your request.

Removal may not be possible for livestreams, crowd footage, already-published content, regulatory records or content where you are not the primary focus.

18. AI Hosts, Digital Personas and Marketing Content

Kyra may use AI-generated hosts, avatars, digital personas, voiceovers, videos, images, scripts, translations and other content to promote Kyra, explain benefits, host prize draws, announce winners or engage with members.

Kyra AI personas are brand characters and digital content tools. They are not regulators, auditors, legal representatives, financial advisers or independent draw witnesses.

Any AI-hosted draw announcement, social media video, livestream, post or content item is for communication, marketing and entertainment purposes only.

The official promotion mechanics, Kyra records and any regulator-approved materials will prevail over any inconsistent AI-generated content.

Kyra may use local language, regional expressions, subtitles or translations in its marketing. If there is any inconsistency between translated content and the official English version of these Terms or promotion mechanics, the official English version will prevail unless local law requires otherwise.

You must not copy, misuse, impersonate, manipulate or create unauthorised versions of Kyra AI personas, brand characters, logos, content, videos, scripts or promotional materials.

19. Social Media and Platform Disclaimer

Kyra promotions, content, posts, livestreams, advertisements or announcements may appear on third-party platforms, including Instagram, Facebook, TikTok, YouTube, Google, Apple or other digital channels.

Unless expressly stated otherwise, Kyra promotions are not sponsored, endorsed, administered by or associated with any third-party social media platform, app store, technology platform or advertising platform.

You release those third-party platforms from liability in connection with your participation in Kyra promotions to the maximum extent permitted by law.

20. Responsible Participation

Kyra is designed as a membership and rewards platform.

You agree to participate responsibly and not to treat Kyra as a source of guaranteed prizes, income, returns or financial gain.

You must not:

• create multiple accounts to increase entries
• use false identities or payment details
• exploit bugs, loopholes or technical errors
• use automated systems to claim offers or enter promotions
• sell or trade Kyra benefits without permission
• harass Kyra, partners, winners or other members
• submit misleading claims
• misuse promotional codes
• act in a way that damages Kyra, partners or other members

We may suspend, terminate or restrict accounts that breach this section.

21. Communications

By creating a Kyra account, you agree that we may send you service-related communications, including account notices, billing notices, membership updates, promotion updates, winner notifications, security alerts and changes to these Terms.

Where you consent, we may also send marketing communications, partner offers, promotional content and personalised recommendations.

You may opt out of marketing communications at any time using the unsubscribe method provided or through your account settings.

You may still receive service-related communications required for your account, membership, billing, reward access or promotion participation.

You are responsible for ensuring that your contact details remain current. Kyra is not responsible if you miss a notice, reward, prize notification or account communication because your details are inaccurate or outdated.

22. Privacy and Personal Data

Kyra is designed to collect only the personal information reasonably required to create and manage your membership, process payments, provide member benefits, administer rewards and comply with applicable laws.

The personal information we collect from you will generally be limited to:

• your full name
• your contact details, including email address, mobile number and country of residence
• your account and membership details
• payment-related information required to process your membership
• limited transaction, billing and reward participation records

Kyra does not intend to collect unnecessary personal information.

Payment details may be collected and processed by our third-party payment providers. Where possible, Kyra will not store your full card number or sensitive payment credentials. Payment information may instead be stored by the payment provider using secure tokens or similar payment security methods.

We may use your personal information to:

• create and manage your Kyra account
• verify your identity, age, membership status and eligibility
• process subscription payments, renewals, cancellations and refunds
• provide access to partner offers and member benefits
• administer Kyra rewards, promotions, prize draws and winner verification
• contact you about your account, membership, billing, rewards or promotions
• prevent fraud, misuse, duplicate accounts or unauthorised access
• comply with applicable laws, regulator requirements and approved promotion mechanics
• send marketing communications where you have consented to receive them

We may share your personal information only where reasonably necessary with:

• payment processors
• technology and hosting providers
• verification providers
• partners, where required to redeem a benefit or reward
• prize suppliers, where required to deliver a prize
• professional advisers
• regulators or government authorities, where required by law
• service providers who support the operation of Kyra

Where you participate in a Kyra promotion or receive a reward, we may need to collect or verify additional information, such as proof of identity, age, address, tax information, prize delivery details or winner acknowledgement documents. We will only request this where reasonably required for verification, prize delivery, legal compliance or regulatory purposes.

Where required by applicable law or promotion mechanics, Kyra may publish limited winner information, such as the winner's name, general location, prize won and promotion name.

You are responsible for ensuring that the information you provide to Kyra is accurate, complete and up to date.

You may have rights to access, correct, update, withdraw consent to, object to or request deletion of your personal information, subject to applicable law and Kyra's legitimate business, legal and regulatory requirements.

23. Platform Availability

We aim to keep Kyra available, secure and functioning properly, but we do not guarantee that Kyra will always be uninterrupted, error-free or available.

Kyra may be unavailable due to maintenance, updates, technical issues, cybersecurity events, third-party service failures, payment provider issues, telecommunications failures, force majeure events or other causes beyond our reasonable control.

We may modify, suspend or discontinue any part of Kyra at any time.

Kyra is provided on an “as is” and “as available” basis to the maximum extent permitted by law.

24. Errors, Technical Issues and Misuse

If Kyra, a partner offer or a promotion contains an error, technical issue, incorrect price, incorrect prize description, mistaken allocation, duplicate entry, incorrect winner notification or other operational issue, Kyra may correct the error, suspend the relevant feature, cancel affected entries, amend the promotion mechanics or take any other reasonable action permitted by law.

If a technical failure affects a promotion, Kyra may suspend, modify, restart or cancel the promotion, subject to applicable law and any required regulator approval.

Kyra is not responsible for entries, claims or redemptions that are lost, delayed, corrupted, misdirected, incomplete or not received due to technical issues, user error, network failures, device issues or third-party service failure.

25. Suspension and Termination

You may cancel your Kyra membership at any time.

We may suspend, restrict or terminate your account, membership or participation in any promotion if:

• you breach these Terms
• you fail to pay membership fees
• we suspect fraud, abuse or manipulation
• you create multiple accounts
• your account information is inaccurate or incomplete
• you fail verification checks
• your conduct may harm Kyra, partners or other members
• we are required to do so by law, regulator request or payment provider requirement
• Kyra ceases operating in your country or region

If your account is terminated for breach, fraud or abuse, you may lose access to membership benefits, partner offers, entries, rewards and unclaimed prizes, subject to applicable law.

26. Changes to Kyra

Kyra is a developing platform. We may change, expand, reduce, suspend or discontinue any feature, membership tier, partner offer, reward, promotion, AI persona, app function or country availability.

We may also change these Terms from time to time.

Where changes are material, we will take reasonable steps to notify you through the app, website, email, SMS or other communication channels.

Your continued use of Kyra after changes take effect means you accept the updated Terms.

If you do not agree to updated Terms, you must stop using Kyra and may cancel your membership.

27. Intellectual Property

Kyra, the Kyra name, logos, branding, platform, content, AI personas, videos, images, text, designs, software, databases, mechanics, promotional content and all related intellectual property are owned by or licensed to Kyra.

You must not copy, reproduce, modify, distribute, sell, license, reverse engineer, scrape, misuse or create derivative works from Kyra content or technology without our prior written consent.

Any feedback, suggestions or ideas you provide to Kyra may be used by us without compensation or obligation to you.

28. User Content

If you submit comments, reviews, photos, videos, testimonials, feedback, social media content or other materials to Kyra, you grant Kyra a worldwide, royalty-free, transferable and sublicensable licence to use, reproduce, edit, publish, display, distribute and promote that content in connection with Kyra, subject to applicable law.

You must not submit content that is unlawful, misleading, offensive, defamatory, infringing, abusive, obscene, fraudulent, discriminatory or otherwise inappropriate.

We may remove, edit or refuse to publish user content at our discretion.

29. Disclaimers

To the maximum extent permitted by law:

• Kyra does not guarantee any specific savings, rewards, prize outcomes or partner benefits
• Kyra does not guarantee that any partner offer will remain available
• Kyra does not guarantee uninterrupted or error-free platform access
• Kyra does not provide financial, investment, legal, tax or professional advice
• Kyra is not responsible for partner products or services
• Kyra is not responsible for losses caused by unauthorised account access where you failed to keep your credentials secure

Nothing in these Terms excludes or limits any rights you may have under applicable consumer protection laws that cannot lawfully be excluded.

30. Limitation of Liability

To the maximum extent permitted by law, Kyra will not be liable for indirect, incidental, special, punitive, exemplary or consequential loss, including loss of profits, loss of opportunity, loss of savings, loss of data, loss of goodwill or business interruption.

To the maximum extent permitted by law, Kyra's total liability to you in connection with your membership, account, partner offers, promotions, rewards or these Terms will be limited to the amount of membership fees you paid to Kyra in the three months before the event giving rise to the claim, or the replacement of the relevant reward or prize, as Kyra may reasonably determine.

This limitation does not apply where liability cannot legally be limited or excluded.

31. Indemnity

You agree to indemnify Kyra, its officers, directors, employees, contractors, agents, affiliates, partners and service providers against losses, claims, damages, liabilities, costs and expenses arising from:

• your breach of these Terms
• your misuse of Kyra
• your fraud, misrepresentation or unlawful conduct
• your breach of promotion mechanics
• your misuse of partner offers
• your infringement of intellectual property or privacy rights
• activity conducted through your account

32. Force Majeure

Kyra will not be liable for delay or failure to perform any obligation where caused by events beyond our reasonable control, including natural disasters, war, terrorism, civil unrest, pandemic, epidemic, government action, regulatory delay, power failure, telecommunications failure, cyberattack, payment provider failure, supplier failure, partner failure, labour dispute or other similar events.

Where a force majeure event affects a promotion, Kyra may suspend, amend, delay, cancel or reschedule the promotion, subject to applicable law and any required regulatory approval.

Part B — Promotion Schedule

33. Promotion Schedule Requirement

Each Kyra promotion may be governed by a separate Promotion Schedule.

The Promotion Schedule may include:

• promotion name
• promoter details
• applicable country or territory
• promotion period
• eligibility criteria
• membership status required, if any
• method of entry
• whether entry is automatic, manual, free, bonus-based or otherwise allocated
• number of entries available
• prize details and approximate value
• total prize pool
• draw date, time and location
• draw method
• winner notification method
• publication requirements
• prize claim process
• redraw or forfeiture process
• tax responsibility
• prize-specific conditions
• regulatory permit number or approval reference, where applicable
• any country-specific legal requirements

If there is any conflict between these Terms and a Promotion Schedule, the Promotion Schedule will apply to that promotion only, unless prohibited by law.

34. Entry Allocation

Where legally permitted and stated in the Promotion Schedule, active Kyra members may receive access to promotional entries or may be automatically included in selected Kyra reward promotions.

Entry allocation will be shown or explained in the applicable Promotion Schedule.

Entries are valid only where the member satisfies all eligibility criteria and, where relevant, holds an active membership at the required time.

Refunded, reversed, fraudulent, disputed or invalid payments may result in associated entries being cancelled, subject to applicable law and the applicable Promotion Schedule.

Kyra does not sell entries separately. Membership fees are paid for access to Kyra membership benefits, partner offers, platform features and available member experiences. Promotional entries, where offered, are provided only as a benefit of eligible membership or as otherwise stated in the applicable Promotion Schedule.

35. Local Law and Regulatory Approval

Kyra may amend, delay, suspend, cancel or restructure a promotion if required for legal, regulatory, operational or compliance reasons.

Where a promotion requires a permit, approval, registration, exemption, regulator notification, approved mechanics, draw supervision or post-promotion reporting, Kyra may complete those steps before launching, drawing or awarding prizes.

No Kyra promotion is intended to operate as an unlawful lottery, gambling product, betting product or game of chance outside any permitted promotional framework.

36. Philippines Promotions

These Philippines Country Terms apply to members located in the Philippines and to promotions conducted in the Philippines.

Kyra may operate promotions in the Philippines only where Kyra reasonably believes the promotion complies with applicable laws and regulations.

Where a promotion requires a government permit, approval, registration or regulator-supervised process, Kyra may obtain that permit, approval or registration before launching or completing the promotion.

Promotion announcements may include a permit number or approval reference where required.

Kyra may publish promotion mechanics covering:

• name of the promotion
• promotion period
• eligibility requirements
• participating areas
• entry method
• prizes and prize values
• draw date, time and location
• winner selection method
• winner notification process
• prize claim process
• redraw or forfeiture process
• tax responsibility
• sponsor details
• other information required by law

Kyra may amend, delay, suspend or cancel a promotion if required by the Department of Trade and Industry, another regulator, law, operational issue or force majeure event.

Any approved change to a promotion will be announced in the manner required by applicable law or regulator direction.

37. Philippines Draws and Winner Verification

For Philippines promotions, Kyra may require winner selection to be witnessed, verified or documented in the manner required by applicable law or regulator guidance.

Where an electronic system is used to select winners, Kyra may make the relevant process, software, database or draw records available for inspection or verification where required.

Winners may be required to present valid identification and complete acknowledgement, release, consent, tax or prize claim documents before receiving a prize.

Failure to comply with verification or claim requirements may result in disqualification and selection of an alternative winner, subject to applicable law and approved promotion mechanics.

38. Philippines Privacy

For Philippines members, Kyra will process personal data in accordance with applicable Philippines data privacy laws and our Privacy Policy.

Kyra may collect and process personal data for membership administration, billing, reward access, promotion participation, winner verification, prize delivery, fraud prevention, regulatory compliance and marketing where consent is obtained.

Kyra may disclose information to regulators, service providers, partners, prize suppliers and professional advisers where necessary and legally permitted.

39. Philippines Consumer Rights

Nothing in these Terms is intended to exclude any mandatory rights you may have under applicable Philippines consumer protection laws.

If any provision of these Terms is found to be invalid, illegal or unenforceable under Philippines law, that provision will be severed or amended to the minimum extent necessary, and the remaining provisions will continue to apply.

Part D — Country-Specific Terms

40. Regional Availability

Kyra may operate across multiple countries in Asia.

Different countries may have different rules for paid memberships, promotional campaigns, prize draws, consumer rights, privacy, taxation, advertising and e-commerce.

Country-specific terms may apply depending on where you live, where you access Kyra, where a promotion is conducted or where a partner offer is redeemed.

If country-specific terms apply, they form part of these Terms.

If there is any conflict between these Terms and mandatory local law, mandatory local law will prevail.

Kyra may restrict, amend or disable certain features in a country if required for legal, regulatory, operational or commercial reasons.

Part E — Governing Law and Disputes

41. Governing Law

These Terms, your Kyra membership, your use of the Kyra platform, and any dispute, claim or matter arising out of or in connection with them shall be governed by and construed in accordance with the laws of Singapore.

This includes any dispute relating to the formation, validity, interpretation, performance, breach, termination or enforceability of these Terms, your account, your membership, any partner offer, any Kyra promotion, any reward, any prize, or your use of the Kyra platform.

Nothing in this clause limits any mandatory consumer, privacy, promotional, regulatory or statutory rights that may apply in the country where you are located or where a Kyra promotion is conducted.

For Philippines members and Philippines promotions, applicable Philippines consumer protection, privacy, e-commerce, promotional campaign and regulator requirements may apply notwithstanding the choice of Singapore law.

42. Informal Resolution

Before commencing formal proceedings, you agree to first contact Kyra so that we may try to resolve the dispute informally and in good faith.

If the dispute cannot be resolved informally within thirty days, the dispute shall be resolved in accordance with the arbitration clause below.

43. Arbitration

Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, interpretation, performance, breach, termination or enforceability, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre in accordance with the SIAC Rules in force at the time the notice of arbitration is submitted.

The seat of arbitration shall be Singapore.

The tribunal shall consist of one arbitrator, unless Kyra determines that the nature, value or complexity of the dispute requires three arbitrators.

The language of the arbitration shall be English.

The arbitration proceedings, submissions, evidence and award shall be confidential, except where disclosure is required by law, regulation, court order, regulator direction, or for the purpose of enforcing or challenging an arbitral award.

Nothing in this clause prevents Kyra from seeking urgent or interim relief from any court of competent jurisdiction, including injunctive relief, freezing orders, orders relating to misuse of the Kyra platform, intellectual property infringement, fraud, account abuse, payment disputes, confidentiality breaches or unlawful conduct.

Part F — General Terms

44. Language

These Terms are written in English and may be translated into other languages.

If there is any inconsistency between the English version and any translated version, the English version will prevail unless local law requires otherwise.

45. Severability

If any provision of these Terms is held to be invalid, illegal or unenforceable by a court, tribunal, regulator or authority of competent jurisdiction, that provision will be severed or amended to the minimum extent necessary.

The remaining provisions will continue in full force and effect.

46. No Waiver

A failure or delay by Kyra to exercise any right or act upon a breach of these Terms will not be a waiver of that right or breach.

Any waiver must be in writing and will apply only to the specific right or breach stated in that waiver.

47. Assignment

These Terms are personal to you. You may not transfer, assign or deal with your rights or obligations under these Terms without our prior written consent.

Kyra may transfer, assign or deal with its rights or obligations under these Terms as part of a restructure, sale, merger, acquisition, financing, group reorganisation, platform transfer or business transfer, subject to applicable law.

48. Entire Agreement

These Terms, our Privacy Policy, any applicable country-specific terms, partner terms and promotion mechanics form the agreement between you and Kyra in relation to your use of Kyra.

They replace any prior understandings, communications or representations relating to your Kyra membership or use of the Kyra platform, except where prohibited by law.
